* On the basis of the Extraordinary General Shareholders’ Meeting (NWZA) dated 28.09.2012, the reverse stock split was made in the proportion 25:1, and simultaneously its nominal value has been increased. Concerning above, since 26.11.2012 instead the amount of 179 964 250 shares of the nominal value 0,01 PLN each, there appeared the amount of 7 198 570 shares of the nominal value 0,25 PLN each.

A series shares

A series shares are the founders’ type of shares. They were created as an ordinary nominative shares, basing on the provisions of the Commercial Code of Companies, concerning the establishment of a joint stock company. At the moment of creation, the company capital was accounted for 6.410.000,00 PLN and could be divided into 12.820 pcs. of the nominative A series shares for 500,00 PLN each. A series ordinary bearer shares were created pursuant to the resolution conc. transformation of the limited liability company into a joint stock company and §8.1 of the Company Contract dated 02.08.2007 drawn up in the form of notarial deed (rep. A no. 8324/2007). As a result of this resolution, the company capital was accounted for 1.080.000,00 PLN and could be divided into 5.400.000 pcs. of the nominative A series shares for 0,20 PLN each.

The company capital is divided as follows:

Ryszard Wtorkowski - 4.000.000 pcs. of the nominative A series shares – numbers from 0001 to 4000000 for the total nominal value of 800.000,00 PLN;
Iwona Wtorkowska - 1.400.000 pcs. of the nominative A series shares – numbers from 4000001 to 5400000 for the total nominal value of 280.000,00 PLN.

The change of nominative A series shares into ordinary bearer shares was passed by the resolution No. 1 of the Extraordinary General Shareholders Meeting of the LUG S.A. in Zielona Góra concerning the changes in the Company Contract dated September 21, 2007.

B series shares

B series ordinary bearer shares were created pursuant to the resolutions passed by the Extraordinary General Shareholders Meeting of 21st September 2007 on the increase of share capital by issuance of B series shares, the exclusion of subscription right of the previous shareholders at the issuance of B series shares. The subscription of B series shares in the private offer lasted from 24th September 2007 to 26th October 2007. The allocation was made on this 31st October 2007. The issuance price of B series shares in the private offer was determined on the level of 2.30 PLN. B series shares in the private offer were acquired by 59 investors. The opening rate on the debut day amounted to 2.40 PLN.

The following shares were admitted to trading in the system of Alternative Trading System "NewConnect”:

27.000.000 A series ordinary bearer shares of the nominal value of PLN 0.04 each;
8.992.850 B series ordinary bearer shares of the nominal value of PLN 0.04 each;
8.992.850 B series allotment certificates to B series shares of the nominal value of PLN 0.04 each.

The first day of listings of allotment certificates to B series shares was indicated by the Executive Board of the Warsaw Stock Exchange S.A. for this 20th November 2007. And this 21st December 2007 was indicated the first day of listings A and B series ordinary bearer shares in the alternative trading system on the NewConnect market by the resolution of the Warsaw Stock Exchange. These shares are listed on the market directed by the orders in the system of continuous listings under the shortened name "LUG" and marking "LUG".

C series shares

C series ordinary bearer shares were created pursuant to the resolutions passed by the Extraordinary General Shareholders Meeting of 23rd March 207 on the increase of share capital by issuance of B series shares. The subscription of C series shares lasted from 4th May 2010 to 14th May 20107. The allocation was made on this 27th May 2010. The issuance price of Cseries shares was determined on the level of 0.15 PLN. C series shares with collection right were acquired by 393 investors and 149 investors acquired shares in the additional subscription.

35 992 850 C-series shares will be admitted to trading in the system of Alternative Trading System "NewConnect”.
